Section 1. Purpose

The purpose of the Association is to promote educational, cultural and other exchanges between the cities of Seattle, United States, and Reykjavík, Iceland, for the benefit of the membership and, as appropriate, the public in both cities.

Section 2. Membership

Membership consists of persons who are in accord with the purpose of the Association, who apply for membership and pay annual dues. The membership is of two classes: individual and corporate. Corporate membership applies to business organizations or other entities.
Membership commences upon acceptance of the application by the Board of Directors. All individual members have equal rights and obligations, except that honorary members do not have the right to vote or hold office nor the obligation to pay dues, and provided student members shall pay less for dues.
Membership dues are determined by the Board of Directors and are for a calendar year. A member who has not paid by April 1 is considered delinquent, loses his rights, and will be removed from the roster. Delinquent members may be reinstated by paying the current year's dues.
The mayor of Seattle shall be the honorary chairman of the Association, and members of the Seattle City Council shall be honorary members of the Board of Directors.
The Icelandic Club of Seattle and the Consulate of Iceland in Seattle shall be corporate members and shall not be required to pay dues.
Each corporate member at the time of its voting application shall designate its voting member. The voting member of the Icelandic Club of Seattle shall be its President or the representative designated by the President. The voting member of the Consulate of Iceland shall be the Consul of said Consulate.

Section 3. Meetings

The annual meeting shall be held during the month of April at such time and place as may be determined by the Board of Directors. At least 15 days' notice of such meeting shall be given to membership. The first annual meeting shall be in 1987.
Special meetings of the membership may be held from time to time as called for the Board, or by petition signed by ten percent (10%) of the membership, with at least 10 days' notice to the membership.
Voting at membership meetings is by individual members and corporate representatives in person, or by proxy when authorized by the Board.
A quorum at membership meetings consists of ten percent (10%) of the total membership, or ten persons, whichever is less.

We are a nonprofit citizen diplomacy network creating and strengthening partnerships between Seattle and Reykjavík in an effort to increase global cooperation at the municipal level, promote cultural understanding and stimulate economic development.

We motivate and empower private citizens, municipal officials and business leaders to conduct long-term programs of mutual benefit.

Our goals are to:

Develop a municipal partnership with Reykjavik.
Provide opportunities for citizens and city officials to experience and explore Icelandic culture through long-term community partnerships.
Create an atmosphere in which economic and community development can be implemented and strengthened.
Stimulate environments through which communities will creatively learn, work and solve problems together through reciprocal cultural, educational, municipal, business, professional and technical exchanges and projects.
Collaborate with organizations in the US and Iceland which share similar goals.

Section IV. Management

The business and property of the Association are managed by a board consisting of not more than nine (9) directors.
Candidates for director are selected by a nominating committee appointed by the president. Nominations may also be made from the floor during the annual meeting, at which time the election of the directors is held.
Directors are elected for a period of two years; approximately half of them are elected each year. At the first annual meeting in April 1987, all the directors, existing and proposed, shall be submitted to the membership. Approximately half of those elected shall serve for two-year terms, the rest for one-year terms, as shall be determined by lot after the election. Thereafter, each director shall be elected for a two-year term.
A vacancy occurring in the Board, or created by action of the Board increasing the number of directors, may be filled by the Board. Vacancies filled are for the unexpired portion of a term or, for a new position, until the next annual election.
Any director may be removed by three-fourths vote of the Board of Directors. Notice must be given to such director of the proposed removal action and its cause, prior to the meeting at which such action is to be voted upon.
Within a reasonable time after their election, the directors shall elect from their number the officers of the Association.
At least three meetings of the Board of Directors are held each year. Meetings are called by the president or any three (3) directors, after reasonable notice is given to the other directors. A majority of the directors constitutes a quorum.
Directors have one vote each at Board meetings.
Unexcused absence from three (3) consecutive meetings of the Board constitute sufficient grounds for removal of a director from office.
Between meetings of the Board the affairs of the Association are managed by the Executive Committee, consisting of the officers and such other Board members as may be determined by the President.
All Board members shall be members of the Association in good standing.

Section V. Officers	The officers shall be elected by the Board of Directors. The officers shall serve for a term of one year or until their successors are elected. The chairman is the principal executive officer of the Association and coordinates all its activities; executes all instruments in its behalf, presides at all meetings of the Board of Directors and of the membership; appoints committees and is ex-officio a member thereof; and performs such other functions usually incident to such office. The vice chairman and secretary-treasurer have duties usually incident to their offices.
Section VI. Committees	The executive committee is created by these by-laws. All other committees are created by the President. Committee Composition. The composition of each committee shall include at least two Board Members. The President shall make all committee appointments with the approval of the Board.
Section VII. Amendments	These by-laws may be amended by majority vote at the annual meeting or a special membership meeting, or by a two-thirds vote of the Board of Directors. Notice of the proposed amendment must be mailed at least one week before the meeting at which the vote is taken.

að stuðla að hvetjandi aðstæðum fyrir samfélög og hópa þar sem áhersla er lögð á samvinnu um skapandi vinnu og lausnir á vandamálum. Viðstefnum að því að ná þessum markmiðum með gagnkvæmri þátttöku í menningar og menntaverkefnum, auk samstarfs í atvinnu-, tækni- og viðskiptalífi.
